These Terms of Service ("Terms") are between Matthew Fearing, an individual doing business as Flowcall in Knoxville, Tennessee, USA ("we", "us"), and you. They cover our website, buying and managing a Flowcall plan, Licence Keys, billing and support. Your use of the Flowcall software itself is governed by the Flowcall Customer License Agreement ("License Agreement"), which forms part of these Terms.
By using our website, buying a plan or using a Licence Key, you accept these Terms. If you accept for an organization, you confirm that you have authority to bind it.
1. What we sell
Flowcall is software you install and run on your own computers. We sell licences to use it under the plans shown on our pricing page:
- Starter: free, with the limits shown on the pricing page.
- Team and Enterprise: paid subscriptions, billed in advance, priced per organization.
Paying enables your plan through a Licence Key issued to your organization. Keys are for your organization only and must not be shared or published.
2. Accounts and accuracy
Give us accurate purchase details (name, email, organization) and keep your email current. We send Licence Keys, receipts, renewal notices and legal notices there. You are responsible for everything done with your Licence Key and billing account.
3. Billing, renewal and price changes
- Payments are processed by Stripe. We never see or store your full card number.
- Subscriptions renew automatically at the end of each billing period (monthly unless your order
says otherwise) until you cancel. Each renewal is charged to your payment method on file.
- Prices exclude taxes. You pay any sales, use, VAT or similar taxes that apply, except taxes on our
income.
- We may change prices with at least 30 days' notice by email. The change applies from your next
renewal after the notice period. If you do not agree, cancel before that renewal.
- If a payment fails, we will email you. If it is still unpaid after 14 days, we may revoke the
Licence Key, and the installation falls back to the Starter plan.
4. Cancellation and refunds
You can cancel at any time from the billing link in your key email (Settings → Plan → Manage billing) or by emailing support. Cancelling stops the next renewal. Your Licence Key stays valid until the end of the period you have paid for.
Refunds follow our Support and Refund Policy (POLICIES.md, also on our website):
- a full refund if you ask within 7 days of first use of a paid plan;
- after 7 days of use, no refund for the current period;
- a key that was never used is refunded whenever you ask.
Nothing in these Terms limits a refund right that consumer law in your country gives you.
5. Support
Support is by email only, normally answered within one business day. It covers installing and updating Flowcall, using its features, connection and configuration help, and bugs. It does not cover writing your pipelines for you, administering your databases, or your own scripts.
6. Acceptable use
You will not use our website, licence server or Software to: break the law; infringe others' rights; process data you have no right to process; attack, probe or overload our systems; generate, share, resell or tamper with Licence Keys; or do anything the License Agreement prohibits (including copying, reverse engineering or building a competing product).
7. Our intellectual property
Flowcall, its software, website, documentation, courses, videos and logo belong to us and are protected by intellectual-property laws. The License Agreement sets out exactly what you may do with the Software. Website content may not be copied or republished without our permission.
8. Third-party services
Flowcall can connect to services you choose, under your own accounts: AI model providers, data warehouses, email servers, GitHub and others. Those services have their own terms and privacy policies, and we are not responsible for them. Payments are subject to Stripe's terms.
9. Suspension and termination
We may suspend or revoke a Licence Key, or end these Terms for you:
- for non-payment, as described in Section 3;
- immediately on notice, for a breach of the License Agreement's restrictions or of Section 6; or
- for any other material breach not cured within 15 days of notice.
If we end a paid plan for our convenience rather than your breach, we refund the unused part of the current period.
10. Disclaimers
Our website and services are provided "as is". The Software's warranty, if any, is only the one in the License Agreement. Results produced by the Software, including predictions and AI suggestions, can be wrong, and you are responsible for the decisions you make with them.
11. Limitation of liability
The limitation of liability in the License Agreement applies to these Terms too. In short, to the fullest extent the law allows, we are not liable for indirect or consequential losses, and our total liability is limited to the fees you paid us in the 12 months before the claim (or US $100 if you paid nothing).
12. Changes to these Terms
We may update these Terms. We will email paying customers at least 30 days before a material change takes effect, and post the new version on our website. Continuing to use a paid plan after the change takes effect means you accept it. If you do not agree, cancel before then.
13. Law and disputes
These Terms are governed by the laws of the State of Tennessee, USA. The state and federal courts in Knox County, Tennessee have exclusive jurisdiction, except where your local consumer law gives you the right to bring a claim where you live. Please contact support first: most problems are solved quickly in writing.
14. Everything else
These Terms, the License Agreement, the Privacy Policy and the Support and Refund Policy are the whole agreement between us about Flowcall. If part of these Terms is unenforceable, the rest stays in effect. We may assign these Terms to a company we form or control, or to a successor to our business.
